Terms of Service

1. Acceptance of Terms

By registering for, accessing, or using BuildProphet (the "Service"), you ("User," "you") agree to be legally bound by these Terms of Service ("Terms"). These Terms constitute a binding contract between you and BuildProphet LLC ("Company," "we," "us," "our"). If you do not agree to every provision of these Terms, you must immediately cease all use of the Service. Your continued use constitutes ongoing acceptance.

2. Description of Service

BuildProphet is a software-as-a-service (SaaS) platform offering tools for real estate project financial management. Features include but are not limited to:

• Automated invoice data extraction from PDF files and photographs using artificial intelligence
• Budget tracking, change order management, and project financial analysis
• QuickBooks Online data synchronization and transaction categorization
• Contractor directory management and communication facilitation via third-party messaging services (WhatsApp)
• After Repair Value (ARV) calculators, profit estimators, and financial projections
• Photo receipt processing using AI vision models
• Tradesperson scheduling and timeline management
• Address verification services
• Marketplace features including contractor, lender, and realtor discovery

All features are provided for organizational and informational purposes only. The Service does not make any decisions on your behalf.

3. No Professional Advice — Critical Disclaimer

THE SERVICE DOES NOT PROVIDE, AND SHALL NOT BE CONSTRUED AS PROVIDING, ANY FINANCIAL, INVESTMENT, ACCOUNTING, TAX, LEGAL, REAL ESTATE, CONSTRUCTION, OR ANY OTHER PROFESSIONAL ADVICE.

Specifically and without limitation:

• Financial projections and profit estimates produced by the Service are estimates based solely on data you provide. They are not guarantees of outcome and may be materially inaccurate.
• Invoice extraction results may contain errors, omissions, or misclassifications due to limitations of AI technology, image quality, or document formatting. You are solely responsible for verifying all extracted data.
• Budget recommendations and cost guides are general estimates based on industry averages and do not account for your specific market, property condition, contractor relationships, or other individual circumstances.
• QuickBooks synchronization may produce errors. You are solely responsible for verifying all accounting entries and maintaining accurate books.
• ARV calculations and ROI figures are mathematical outputs based on inputs you provide. They do not constitute appraisals, investment advice, or guarantees of sale price.
• Contractor, lender, and realtor listings are provided as a convenience. We make no representations about the qualifications, licensing, reliability, or suitability of any listed party.

You must independently verify all information and consult qualified, licensed professionals before making any real estate, financial, legal, or business decisions.

4. Assumption of Risk

YOU EXPRESSLY ASSUME ALL RISKS associated with your use of the Service, including without limitation:

• Financial losses arising from decisions made using data, projections, or analyses provided by the Service
• Inaccurate invoice extraction, misclassified expenses, or incorrect budget figures
• Errors in QuickBooks synchronization or transaction categorization
• Reliance on ARV estimates, profit projections, or cost benchmarks that prove inaccurate
• Communications initiated through WhatsApp or other third-party messaging services facilitated by the Service
• Engagements with contractors, lenders, or realtors discovered through the Service
• Data loss, service interruptions, or security incidents
• AI misclassification of expenses, receipts, or financial data

5. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." BUILDPROPHET LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, whether express, implied, statutory, or otherwise, including without limitation:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• Any warranty that the Service will meet your requirements or be continuously available, uninterrupted, timely, secure, or error-free
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any content, data, calculations, or extractions
• Any warranty regarding AI-generated results including invoice extraction, categorization suggestions, and financial projections
• Any warranty regarding data synced with or from QuickBooks or any other third-party service
• Any warranty that defects will be corrected or that the Service is free from viruses or other harmful components

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUILDPROPHET LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

• Indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Financial losses of any kind, including losses on real estate transactions or investments
• Cost of substitute goods or services
• Personal injury or property damage
• Damages arising from reliance on AI-generated data, financial projections, or budget estimates
• Damages arising from errors in invoice extraction, expense categorization, or QuickBooks sync
• Damages arising from contractor, lender, or realtor introductions made through the Service

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if BuildProphet LLC has been advised of the possibility of such damages.

BuildProphet LLC's total cumulative liability to you shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) one hundred US dollars ($100.00).

7. Indemnification

You agree to fully defend, indemnify, and hold harmless BuildProphet LLC and its officers, directors, members, employees, agents, and service providers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) any content or data you submit; (e) financial or business decisions you make based on Service outputs; or (f) any dispute between you and a contractor, lender, realtor, or other party introduced through the Service.

8. Third-Party Services and Integrations

The Service integrates with and relies on third-party services including QuickBooks Online (Intuit), Plaid Technologies, Inc., Cloudflare, Supabase, Groq, Resend, Vercel, OpenStreetMap/Nominatim, Photon, and WhatsApp/Meta. BuildProphet LLC is not responsible for the availability, accuracy, security, or performance of any third-party service. Your use of such services is subject to their own terms and privacy policies. We make no representations regarding data accuracy obtained from or transmitted to third-party services.

8A. Bank Account Connection

8A.1 Scope.

This Section 8A governs your use of the bank account connection feature (“Bank Sync”), which allows BuildProphet to retrieve your bank transaction data through Plaid Technologies, Inc. (“Plaid”). If you do not connect a bank account, this Section does not apply to you.

8A.2 Your representations.

By connecting a bank account, you represent and warrant that: (a) you are the account holder or are legally authorized to connect the account and share its transaction data with BuildProphet; (b) your use of Bank Sync complies with all applicable laws, regulations, and any agreement you have with your financial institution; and (c) you have authority to grant BuildProphet the access described in this Section.

8A.3 Scope of authorization.

By connecting your bank account, you authorize BuildProphet to: (a) retrieve transaction records from your connected account(s), including date, amount, merchant name, and account type; (b) retrieve account metadata including account type and the last four digits of your account number; and (c) use that data to categorize transactions and populate your project budgets within the Service. This authorization does not extend to initiating payments, transfers, or any other financial transactions on your behalf. BuildProphet is a read-only consumer of your bank data.

8A.4 BuildProphet's obligations.

BuildProphet will: (a) use your bank transaction data solely to provide the budget-tracking features of the Service; (b) encrypt your Plaid access token at rest using AES-256-GCM; (c) not sell, rent, or share your bank transaction data with third parties for marketing or commercial purposes; and (d) honor your right to disconnect at any time (see Section 8A.6).

8A.5 Plaid's role.

Plaid is an independent third-party service that acts as a data conduit between your financial institution and BuildProphet. Plaid, not BuildProphet, handles your bank login credentials. BuildProphet never receives, stores, or has access to your bank username or password. Your use of Plaid is subject to Plaid's own End User Privacy Policy and Terms of Service, available at plaid.com. BuildProphet is not responsible for Plaid's performance, availability, security practices, or any errors in data delivered by Plaid.

8A.6 Disconnection.

You may disconnect your bank account at any time by navigating to Settings → Bank Sync and clicking “Disconnect.” Disconnection immediately stops all future transaction syncing and revokes BuildProphet's access to your bank feed. Your existing transaction records will be preserved in your account following disconnection unless you separately request deletion (see our Privacy Policy, Section 5A).

8A.7 Suspension.

BuildProphet reserves the right to suspend or terminate your access to Bank Sync if: (a) we have reason to believe your use violates these Terms or applicable law; (b) Plaid notifies us that your bank connection has been revoked or flagged; or (c) we are required to do so by applicable law or regulatory authority. We will provide notice where reasonably practicable.

8A.8 No financial institution relationship.

BuildProphet is not a bank, financial institution, financial advisor, or money services business. The Bank Sync feature is a data aggregation and categorization tool only. BuildProphet does not hold, move, or have custody of your funds at any time. Nothing in this Agreement or the Bank Sync feature constitutes financial advice or creates any fiduciary obligation.

8A.9 Limitation of liability.

In addition to the general limitation of liability in Section 6, BuildProphet LLC shall not be liable for: (a) errors, inaccuracies, or omissions in transaction data delivered by Plaid or your financial institution; (b) delays in transaction data availability due to Plaid or financial institution processing times; (c) your financial institution's refusal to authorize or maintain a bank connection; (d) any action taken by your financial institution in response to your connection of a bank account through BuildProphet; or (e) losses arising from your reliance on bank transaction data that is incomplete, delayed, or inaccurate.

9. WhatsApp and Third-Party Messaging

The Service facilitates the preparation of pre-filled messages that you may choose to send via WhatsApp or other messaging platforms. BuildProphet LLC does not send messages on your behalf and is not responsible for the content, delivery, or consequences of any messages you send. You are solely responsible for all communications with contractors, lenders, realtors, or any other parties.

10. AI and Automated Processing

The Service uses artificial intelligence and automated processes to extract data from invoices and photographs, categorize expenses, generate financial estimates, and perform other functions. AI-generated outputs are inherently subject to error and should not be used as a sole basis for any decision. You acknowledge that AI technology has significant limitations and agree to independently verify all AI-generated data before acting on it.

11. Dispute Resolution — Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Dallas, Texas, or remotely at the discretion of the arbitrator.

CLASS ACTION WAIVER: YOU AND BUILDPROPHET LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, OR CONSOLIDATED PROCEEDING. All claims must be brought on an individual basis only. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any claims not subject to arbitration shall be brought exclusively in the state or federal courts of Dallas County, Texas, and you consent to personal jurisdiction there.

13. Data, Privacy, and Security

You represent that you have all rights necessary to upload any data, documents, or images to the Service. You are solely responsible for the accuracy, legality, and appropriateness of data you input. BuildProphet LLC implements reasonable security measures but cannot guarantee absolute security. You accept the risk of unauthorized access to your data and agree that BuildProphet LLC shall not be liable for security breaches outside its reasonable control.

14. Modifications

BuildProphet LLC may modify these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to modified Terms, you must stop using the Service.

15. Termination

BuildProphet LLC may suspend or terminate your access at any time, with or without cause or notice. Upon termination, your right to use the Service ceases. Sections 3–12 and any other provisions that by their nature should survive shall survive termination.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BuildProphet LLC regarding the Service and supersede all prior agreements and understandings. No oral or written representations not contained in these Terms shall be binding.

17. Intellectual Property and License

Ownership of the platform. BuildProphet LLC owns all right, title, and interest in and to the Service, including all software, algorithms, models, interfaces, text, graphics, logos, trademarks, trade secrets, and other intellectual property embodied in or associated with the Service (“BuildProphet IP”). These Terms do not transfer any ownership of BuildProphet IP to you.

Limited license to you. Subject to your compliance with these Terms, BuildProphet LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal business purposes. This license terminates automatically upon your breach of any provision of these Terms or upon termination of your account.

Your data. You retain all ownership rights to the data, documents, images, and other content you submit to the Service (“User Content”). By submitting User Content, you grant BuildProphet LLC a worldwide, royalty-free, non-exclusive license to access, store, process, and use your User Content solely as necessary to provide, operate, maintain, and improve the Service on your behalf. This license does not permit BuildProphet LLC to sell your User Content or share it with third parties except as described in our Privacy Policy. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party intellectual property rights.

Feedback. If you provide BuildProphet LLC with feedback, suggestions, or ideas about the Service (“Feedback”), you grant BuildProphet LLC an irrevocable, perpetual, royalty-free, worldwide license to use, reproduce, modify, and incorporate that Feedback into the Service without any obligation or compensation to you.

18. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree that you will not:

• Scrape or harvest data. Use any automated tool, script, bot, spider, or other mechanism to extract, scrape, copy, or collect content or data from the Service without our prior written consent.
• Reverse engineer. Decompile, disassemble, reverse engineer, or attempt to derive the source code, algorithms, or trade secrets of the Service or any component thereof.
• Unauthorized access. Attempt to gain unauthorized access to any portion of the Service, its infrastructure, or other users' accounts or data. This includes probing, scanning, or testing the vulnerability of any system without our authorization.
• Automated or bulk access. Use the Service in any manner that imposes a disproportionate load on our infrastructure, exceeds any rate limits we establish, or interferes with the normal operation of the Service for other users.
• Circumvent security controls. Disable, bypass, or circumvent any security feature, access control, or usage limitation implemented by BuildProphet LLC.
• Misrepresentation. Impersonate any person or entity, or falsely represent your affiliation with any person or entity, in connection with your use of the Service.
• Harmful content. Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or that infringes any third-party intellectual property rights.
• Re-sell or sublicense. Resell, sublicense, or otherwise make the Service available to third parties as a standalone product without our prior written consent.
• Prompt injection and AI manipulation. Attempt to manipulate, override, subvert, or exploit any artificial intelligence feature of the Service — including its underlying language models, system prompts, prompt templates, AI instructions, or model outputs — through any means, including prompt injection (inserting content designed to alter AI behavior), jailbreaking, adversarial inputs, or any other technique designed to cause the Service to behave in a manner inconsistent with its intended operation.
• Extraction of proprietary AI components. Attempt to access, extract, reproduce, reconstruct, or otherwise obtain any system prompt, model weight, fine-tuning dataset, proprietary instruction set, or AI configuration parameter used by the Service, whether through direct query, automated interrogation, inference, or any other method.
• Security probing and vulnerability testing. Probe, scan, fuzz, or test the security, performance, or internal operation of the Service — including its AI features, API endpoints, rate limits, access-tier controls, usage limits, authentication flows, or data-handling logic — without our express prior written authorization. This prohibition applies regardless of your intent.
• Interference with AI integrity. Provide input designed to cause the Service's AI features to produce outputs that mislead, harm, or defraud any user, third party, or the Company; to generate, distribute, or assist in creating harmful, unlawful, or fraudulent content through the Service's AI features; or to use outputs from the Service's AI features to train, fine-tune, or improve any competing AI model or system without our prior written consent.
• Data exfiltration. Attempt to extract, copy, or exfiltrate data belonging to other users of the Service, or data contained in the Service's infrastructure, databases, caches, or logs — through AI prompting, API abuse, injection attacks, timing attacks, or any other method.

Violations of this Acceptable Use policy — including but not limited to any attempt to manipulate AI features, probe or circumvent security controls, or exfiltrate data — are a material breach of these Terms. BuildProphet LLC reserves the right to suspend or terminate your access to the Service immediately and without notice upon any such violation, and to pursue all available legal and equitable remedies, including injunctive relief and claims for damages.
